These Terms & Conditions explain how the Programme is provided, your rights and responsibilities as a participant, and the standards that help us create a positive learning experience for everyone.
We have written them in plain English because we believe legal documents should be transparent, accessible and easy to understand.

1. About These Terms
These Terms & Conditions ("Terms") govern your purchase of, and participation in, Conscious FLO™: The Physiology of Leadership ("the Programme").
The Programme is an educational digital learning experience designed to support professionals, leaders and organisations in developing sustainable leadership through a greater understanding of physiology, communication, performance and self-regulation.
These Terms apply whether you purchase the Programme yourself or access it through an organisation that has purchased a Corporate Licence on your behalf.
By purchasing, accessing or participating in the Programme, you confirm that you have read, understood and agree to be legally bound by these Terms.
If you do not agree to these Terms, you should not purchase or access the Programme.
2. Definitions
For the purposes of these Terms:
Agreement means these Digital Programme Terms & Conditions together with the Privacy Policy and any documents expressly referred to within them.
Conscious FLO™ means the Conscious FLO™ brand and the digital leadership programme known as Conscious FLO™: The Physiology of Leadership.
Programme means all online learning modules, videos, audio recordings, downloadable resources, workbooks, assessments, guided practices and educational materials included within your purchase.
Participant means any individual who has purchased, or has been granted authorised access to, the Programme.
Organisation means any company, charity, public body or other legal entity purchasing a Corporate Licence.
Corporate Licence means an organisational licence permitting an agreed number of Participants to access the Programme.
Platform means the secure online learning environment through which the Programme is delivered.
Materials means all educational content, videos, workbooks, graphics, presentations, audio, assessments and downloadable resources supplied as part of the Programme.
We, Us or Our means Lorna MacPhail, the supplier of the Programme.
You or Your means the Participant or Organisation purchasing or accessing the Programme.
3. About Conscious FLO™
Conscious FLO™ has been co-created by Lorna MacPhail and Katie Vance, combining expertise in education, leadership development, physiology, innovation and commercial strategy.
The Programme is delivered under the Conscious FLO™ brand.
For the purposes of these Terms, the Programme is supplied by Lorna MacPhail, who is the contracting party responsible for Programme delivery, participant access and customer support.
Katie Vance contributes to the development, branding and commercial growth of Conscious FLO™ but is not a contracting party under these Terms.
4. Access to the Programme
Unless otherwise stated at the time of purchase, your Programme includes:
- access to the online learning modules;
- downloadable resources made available within the Programme;
- guided audio or video content;
- future updates specifically included within your purchased version of the Programme.
We reserve the right to improve, update or refine Programme content to maintain quality and accuracy. Such updates will not materially reduce the value of the Programme purchased.
Occasionally, temporary interruptions to the learning platform may occur due to maintenance or circumstances beyond our reasonable control. We will make reasonable efforts to restore access promptly.
5. Educational Purpose
Conscious FLO™ is an educational programme.
Its purpose is to provide practical learning experiences that support leadership development through greater awareness of physiology, communication, sustainable performance and self-regulation.
The Programme is designed to inform, educate and encourage reflection and practical application.
It is not intended to provide:
- medical diagnosis or treatment;
- psychological therapy;
- counselling or psychotherapy;
- clinical healthcare;
- legal advice;
- financial advice; or
- any regulated professional service.
Participation in the Programme does not establish a practitioner-client, therapist-client or healthcare relationship. You remain responsible for making decisions appropriate to your own circumstances and for seeking advice from appropriately qualified professionals where required.
6. Health & Wellbeing Disclaimer
Conscious FLO™ is an educational programme that may include information and practices relating to movement, breathing, mindfulness, stress regulation, nutrition, lifestyle and leadership development.
The Programme is designed to support learning and personal development. It is not a substitute for medical advice, diagnosis, treatment or other regulated healthcare services.
By participating in the Programme, you acknowledge and agree that:
- you are responsible for your own health and wellbeing throughout your participation;
- you will exercise good judgement and only participate in activities that are appropriate for your own circumstances;
- you will stop any exercise or practice immediately if you experience pain, dizziness, shortness of breath or any other concerning symptoms; and
- where you have a medical condition, injury, are pregnant, or have any concerns about your health, you will seek advice from an appropriately qualified healthcare professional before participating in any movement, breathing or lifestyle practices included within the Programme.
Nothing within the Programme should be interpreted as individual medical, nutritional, psychological or therapeutic advice.
7. Participant Responsibilities
To help create a positive learning experience for everyone, participants agree to:
- use the Programme for their own personal or authorised organisational learning;
- engage respectfully with facilitators and other participants where interaction is provided;
- maintain the confidentiality of discussions shared by other participants during any live sessions or community spaces;
- provide accurate registration information;
- keep login details secure and not share access with others; and
- comply with all applicable laws when using the Programme.
You agree not to:
- copy, distribute or commercially exploit Programme materials;
- share your login details with another person;
- record any live sessions without our prior written permission;
- upload unlawful, offensive or defamatory content within any Programme community; or
- use the Programme in any manner that may damage the reputation of Conscious FLO™ or interfere with the learning experience of others.
We reserve the right to suspend or remove access where these Terms are materially breached.
8. Intellectual Property
All intellectual property rights in the Programme remain protected.
Unless otherwise stated, all content made available through Conscious FLO™, including but not limited to:
- videos;
- audio recordings;
- presentations;
- workbooks;
- downloadable resources;
- written materials;
- graphics;
- learning frameworks;
- assessments;
- guided practices;
- diagrams;
- branding;
- logos; and
- website content,
is protected by copyright, trade mark and other intellectual property laws.
Nothing in these Terms transfers ownership of any intellectual property to you.
Your purchase provides you with a limited, non-exclusive, non-transferable licence to access and use the Programme solely for your own personal learning or, where applicable, as an authorised participant under your organisation's corporate licence.
Unless we have provided prior written permission, you may not:
- reproduce, copy or republish Programme materials;
- distribute Programme resources to others;
- upload Programme content to another website or learning platform;
- adapt or create derivative works based upon the Programme;
- use Programme content to deliver training, coaching or educational programmes for commercial purposes;
- remove copyright or trade mark notices;
- sell, licence or otherwise commercially exploit any part of the Programme.
You may download and print resources that have been specifically provided for your own personal use within the Programme.
Artificial Intelligence
Programme materials may not be uploaded into artificial intelligence tools or language models for the purpose of reproducing, extracting, analysing, generating competing content or creating derivative educational products without our prior written permission.
Reasonable personal use of AI to assist your own learning or note-taking is permitted, provided that Programme content is not redistributed, published or used commercially.
Trade Marks
"Conscious FLO™" and "The Physiology of Leadership™" are proprietary brands and methodologies of Conscious FLO™. Unauthorised use of these names, logos or associated branding is prohibited.
We reserve all rights not expressly granted within these Terms.
9. Corporate Licences
Where the Programme is purchased by an organisation, access is granted under a corporate licence for the number of participants agreed at the time of purchase.
Unless otherwise agreed in writing:
- each participant will receive their own individual login credentials;
- participant accounts may not be shared between multiple individuals at the same time;
- licences are intended solely for employees or authorised representatives of the purchasing organisation;
- the purchasing organisation is responsible for ensuring that all authorised participants comply with these Terms.
Participant Changes
Organisations are responsible for ensuring that access credentials are removed from former employees as soon as reasonably practicable.
Where an employee leaves the organisation during the licence period, the organisation may request that access be transferred to another employee, provided that:
- the original participant's access is removed;
- the total number of authorised users does not exceed the number of licences purchased; and
- the request is made through the designated programme administrator.
We reserve the right to refuse repeated or excessive licence transfers where they are inconsistent with the intended use of the Programme.
Organisational Use
A corporate licence permits employees to access the Programme for their own professional development.
It does not permit the organisation to:
- copy or reproduce Programme materials;
- incorporate Programme content into internal training programmes;
- record, extract or republish Programme content;
- distribute downloads outside authorised participants; or
- use the Programme to train individuals beyond the scope of the purchased licence without prior written agreement.
Organisations wishing to deliver Conscious FLO™ internally, or to train facilitators using the Programme, should contact us to discuss separate licensing arrangements.
10. Payments, Cancellation & Refunds
Payment
Access to the Programme is granted only after successful payment or confirmation of an authorised Corporate Licence.
Payment must be received in full before access to the Programme is granted, unless an alternative payment arrangement has been agreed in writing.
All prices are stated in Pounds Sterling (£) unless otherwise specified.
Where applicable, taxes will be applied in accordance with UK law.
Individual Purchases
When purchasing the Programme as an individual consumer, you have rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Normally, digital products include a 14-day cancellation period.
However, by purchasing Conscious FLO™ and requesting immediate access to the Programme, you expressly consent to digital content being supplied immediately and acknowledge that your statutory right to cancel ends once digital content has been supplied, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
This consent will be obtained during the checkout process.
Corporate Purchases
Corporate licences are purchased on behalf of an organisation and are not subject to the same consumer cancellation rights that apply to individual purchases.
Once a corporate licence has been confirmed and participant access has been issued, cancellations or refunds will only be provided where required by law or where agreed in writing.
Refund Policy
We are committed to providing a high-quality educational experience.
If you experience a genuine technical issue preventing access to the Programme, we will make reasonable efforts to resolve the issue promptly.
Refunds will not normally be provided because:
- you decide the Programme is not suitable after accessing it;
- you do not complete the Programme;
- your personal circumstances change;
- your employer changes your role;
- you do not have sufficient time to participate; or
- you fail to engage with the Programme.
Nothing within this policy affects your statutory rights under UK consumer law.
Promotional Offers
From time to time, Conscious FLO™ may offer introductory pricing, promotional discounts or pilot programmes.
These offers are available only under the specific terms communicated at the time and cannot be applied retrospectively to previous purchases.
Pricing
We reserve the right to amend Programme pricing at any time.
Any change in pricing will not affect purchases that have already been completed.
Payment Providers
Payments are securely processed through approved third-party payment providers.
We do not store your full payment card details.

11. Programme Updates
Conscious FLO™ is committed to continually reviewing and improving the Programme.
From time to time, we may update, revise or replace elements of the Programme to reflect:
- new research and evidence;
- participant feedback;
- improvements to learning design;
- technological developments; or
- enhancements to the overall participant experience.
Such updates are intended to improve the quality of the Programme and will not materially reduce the value of the version purchased.
12. No Guaranteed Outcomes
Conscious FLO™ is designed to provide high-quality educational content, practical tools and opportunities for reflection and development.
Individual and organisational outcomes will vary depending upon many factors, including engagement with the Programme, personal circumstances and the application of the learning.
Whilst we aim to support participants in developing greater awareness, leadership capability and sustainable performance, we do not guarantee any specific personal, professional, organisational or financial outcome from participation in the Programme.
13. Technology & Platform Access
The Programme is delivered through a secure online learning platform.
Whilst we make every reasonable effort to ensure continuous access, we cannot guarantee uninterrupted availability due to circumstances beyond our reasonable control, including:
- scheduled maintenance;
- software updates;
- internet service interruptions;
- third-party platform outages; or
- technical failures.
Participants are responsible for ensuring they have suitable internet access and compatible devices to access the Programme.
We reserve the right to suspend or restrict access where reasonably necessary to maintain the security, integrity or operation of the Programme.
14. Privacy & Data Protection
We are committed to protecting your personal information and handling it responsibly.
Personal information collected in connection with the Programme will be processed in accordance with applicable UK data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Full details of how we collect, use, store and protect personal information are set out in our Privacy Policy, which forms part of these Terms.
15. Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, fire, flood, pandemic, government action, industrial disputes, interruption of utilities, internet failure or other events outside our reasonable control.
Where reasonably practicable, we will make every effort to minimise disruption and restore access to the Programme as soon as reasonably possible.
16. Complaints
We are committed to providing a high-quality educational experience.
If you have a concern or complaint regarding the Programme, please contact us at consciousflo@lornamacphail.com in the first instance.
We will acknowledge your complaint promptly and aim to resolve it fairly and within a reasonable timeframe.
Nothing in this section affects your statutory rights.
17. General Terms
Assignment
We may transfer or assign our rights and obligations under these Terms to another legal entity as part of a business restructure, merger or transfer of the Conscious FLO™ business, provided this does not materially affect your rights.
You may not transfer or assign your rights under these Terms without our prior written consent.
